Terms of Service

Please read these Terms of Service ("Terms") carefully before using any services provided by Infinite Flow Agents ("IFA," "we," "us," or "our"). By engaging our services, signing a service agreement, or using our website at www.infiniteflowagents.com, you agree to be bound by these Terms.

1. Services Provided

Infinite Flow Agents provides done-for-you AI automation and digital marketing services for Florida-based contractors and home service businesses. Our services include, but are not limited to:

Riley AI Voice Receptionist (Slayer Suite™)

A 24/7 AI-powered voice agent powered by the Slayer Suite™ — eight proprietary capabilities: Noise Slayer™, Language Slayer™, Priority Proof™, Slang Slayer™, Spam Slayer™, FlowMatch™, Robot Slayer™, and BrandVoice™. Answers inbound calls, qualifies leads, books appointments, and integrates with scheduling software such as Jobber, ServiceTitan, and GoHighLevel. Setup fee: $897. Monthly management: $447/month.

Digital Ecosystem (SEO + GEO + AIO)

Professional website design, local SEO, geographic optimization (GEO), and AI search optimization (AIO) to maximize your business's visibility in traditional and AI-driven search results. Setup fee: $1,350. Monthly management: $1,350/month.

Workflow Automation (CRM + Lead Nurturing + Chatbots)

GoHighLevel CRM setup and automation, AI chatbot deployment, instant lead response workflows, and custom integrations via Make.com and Twilio. Setup fee: $1,350. Monthly management: $447/month.

Website Hosting & Maintenance

All IFA-built websites require a $150/month hosting and maintenance fee. This covers uptime monitoring, security patches, software updates, and monthly performance checks. Flat rate. Required for all IFA-built websites. Subject to the 3-month minimum commitment described in Section 3.

Full Stack AI Infrastructure

All IFA services fully integrated, including custom Python/Twilio middleware, priority support, dedicated account management, and unlimited workflow customizations. Setup fee: $2,250. Monthly management: $4,500/month.

Specific deliverables, timelines, and pricing for your engagement will be detailed in a separate Service Agreement or Statement of Work provided to you prior to the start of services.

2. Payment Terms

  • Setup Fees: All one-time setup fees are due in full prior to the commencement of any work. Setup fees are non-refundable once work has begun.
  • Monthly Fees: Recurring monthly service fees are billed in advance on the same calendar date each month. Failure to pay within 7 days of the due date may result in suspension of services.
  • Late Payments: Invoices unpaid after 15 days are subject to a 1.5% monthly late fee (18% annually) on the outstanding balance.
  • Payment Methods: We accept major credit cards, ACH bank transfers, and other payment methods as specified in your Service Agreement. All payments are processed through secure, PCI-compliant third-party processors.
  • Price Changes: IFA reserves the right to adjust pricing with 30 days' written notice. You may cancel your service before the new pricing takes effect without penalty.

3. Onboarding Period & Cancellation Policy

90-Day Onboarding Commitment

This 90-day period is also referred to throughout IFA's materials as the "3-month minimum commitment." Both terms refer to the same Initial Term.

All new clients agree to a minimum 90-day onboarding period from the date services commence. This period is required to properly configure, test, and optimize your AI systems. Early termination during the 90-day period does not entitle the client to a refund of setup fees or any monthly fees already paid.

  • After the 90-Day Period: Services continue on a month-to-month basis. Either party may cancel with 30 days' written notice.
  • Cancellation by Client: To cancel, you must provide written notice via email to [email protected] at least 30 days before your next billing date. Services will continue through the end of the paid period.
  • Cancellation by IFA: IFA reserves the right to terminate services for non-payment, breach of these Terms, or conduct that violates applicable law, with or without notice depending on the severity of the breach.
  • Data Upon Cancellation: Upon termination, IFA will provide you with an export of your data (contacts, workflows, call logs) within 14 business days. After 30 days post-termination, your data may be permanently deleted.

4. AI Service Disclaimers

4.1 AI Performance Disclaimer

IFA's AI services, including the Riley AI Voice Receptionist, are powered by artificial intelligence and machine learning technologies. While we strive for accuracy and reliability, AI systems are not infallible. IFA does not guarantee that Riley or any AI service will correctly handle 100% of interactions, detect all emergencies, or achieve specific conversion rates. Results will vary based on your industry, call volume, and market conditions.

4.2 Call Recording Compliance

Florida law (§ 934.03, Fla. Stat.) requires all-party consent for recording telephone conversations. As our client, you are solely responsible for ensuring that your callers are informed that calls may be recorded, either through a pre-call disclosure message or other legally compliant method. IFA can assist with configuring such disclosures but is not liable for your failure to obtain required consents.

4.3 SEO / GEO / AIO Results

Search engine rankings, AI search recommendations, and digital visibility are influenced by many factors outside IFA's control, including algorithm changes by Google, ChatGPT, Perplexity, and other platforms. IFA does not guarantee specific rankings, traffic levels, or lead volumes. We commit to applying industry best practices and continuous optimization on your behalf.

5. Client Responsibilities

As a client of IFA, you agree to:

  • Provide accurate and complete business information required for service setup
  • Grant IFA necessary access to your software platforms (e.g., Jobber, ServiceTitan, GHL) as required for integration
  • Respond to IFA's requests for information, approvals, or feedback in a timely manner
  • Comply with all applicable laws, including TCPA, CAN-SPAM, and Florida statutes, in connection with your use of IFA's services
  • Not use IFA's services for any unlawful, deceptive, or harmful purpose
  • Maintain the confidentiality of any login credentials or API keys provided to you

6. Intellectual Property

All custom workflows, automation scripts, website designs, and AI configurations created by IFA for your business are considered work for hire and become your property upon full payment of all applicable fees.

IFA retains ownership of its proprietary methodologies, templates, software tools, and any pre-existing intellectual property used in delivering services. IFA may use your business name and results (with your permission) as a case study or testimonial for marketing purposes.

7. Limitation of Liability

To the fullest extent permitted by applicable law, IFA's total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to IFA in the three (3) months preceding the claim.

IFA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, even if IFA has been advised of the possibility of such damages. This limitation applies regardless of the legal theory under which the claim is brought.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including business strategies, customer data, pricing, and technical systems. This obligation survives the termination of services for a period of two (2) years.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Hillsborough County, Florida, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Hillsborough County, Florida.

10. Changes to These Terms

IFA reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or our website. Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your services in accordance with Section 3.
